As of today, there isn’t a clear cut answer yet to this because the Howey Test is very open to interpretation and hasn’t been formally applied to cryptocurrency holistically. If we look at the most basic and traditional definition of a security and the Howey Test, the token, HZN, would technically be considered a security because: - Buying it can be considered an “Investment of Money” - People who buy HZN have an “Expectation of Profits” - It can be considered that there is a “Common Enterprise” because both investors and the team building the project are rooting for the success of the product for financial gains - Many of the buyers of HZN, although can participate as community members, the majority of the work will still be done by a core team until we move towards a DAO (at which point, this becomes fuzzier) I previously would have said that we were straight up a security because people who bought HZN were essentially shareholders in our project. We are pursuing success with the goal of making sure that everyone who supported us will also benefit. But there is a bit more to this now from the SEC. The SEC did lay out some additional considerations that would move us away from being classified as a security though: - The distributed ledger, network, and token are fully operational (We are fully operational and we are written in a decentralized way.) - The token can be used immediately for its intended purpose (Yes, especially since HZN is crucial in the project for supplying collateral to the protocol. This make it so that the token is not just a piece of the company.) - The token and network are not created and marketed in a way that creates speculation on prices or value (True.) - There is no reasonable expectation of appreciation in value (There is reasonable expectation of appreciation in value.) - Any economic benefits are incidental (Arguable.) So with all that said, this probably won’t apply to us for a while since there are lot of other big fish for the SEC to target. But assuming that one day, we do get there, I hope we are already much closer to a DAO and have implemented measures to be as decentralized as possible. It's hard to answer. I don't understand the issue of that. If we lock everything, then it might be a problem to do any marketing activities at all. No rewards for p2e, no rewards for KOLs, steamers, tournaments etc. If we lock a part, so what part? For some it will be enough, for others why so low and etc. I mean there is no balance anyways. We are here for long and you trust the team or not. We have been here for 2 years already and the team hasn't sold any tokens and do not plan to do for the next 5 years for sure. It doesn't matter what the price will be. Our plans are continuing development, marketing, expanding the gaming studio, launching more games, doing our own chain later on. Well we have plans for a very long time and we hope to achieve at least half what we are looking to build in the next 10 years. MetaShooter is our first web3 project and with all mentioned and the help of other games, projects we will launch it has to grow significant. But to answer in short we are happy to lock team toke s, if that makes any sense for anybody as we don't plan to use any team tokens for the next 5 years.
